MDA Space to Acquire CLS in $920M Deal to Create a Global Geointelligence Leader

The race to dominate the rapidly expanding geospatial intelligence market has entered a new phase.
Canadian space technology company MDA Space has announced a firm and irrevocable offer to acquire approximately 70% of CLS, the French Earth observation analytics specialist renowned for its AI-driven geospatial services and satellite IoT solutions. If completed, the transaction would establish one of the world's largest integrated geointelligence businesses, bringing together satellite manufacturing, space infrastructure, Earth observation data, and advanced AI-powered analytics under a single organization.
Valued at approximately €567 million (C$920 million) in cash, the acquisition represents a major strategic milestone for MDA Space as it continues expanding beyond spacecraft manufacturing into high-value downstream geospatial intelligence services. France's national space agency, CNES, will retain roughly a 30% ownership stake in CLS, preserving the company's strong sovereign ties while supporting its next stage of international growth.
Building a Fully Integrated Geointelligence Ecosystem
The proposed acquisition reflects a broader shift across the global space industry, where value creation is increasingly moving beyond satellites themselves toward actionable intelligence generated from the data they collect.
MDA Space's investments in satellite platforms, Earth observation constellations, ground infrastructure, and the MDA CHORUS™ synthetic aperture radar constellation will be complemented by CLS's AI-powered analytics, environmental monitoring applications, satellite IoT capabilities, and proprietary algorithms.
The result is a vertically integrated business capable of delivering everything from data collection in orbit to near real-time intelligence products for government agencies, defense organizations, environmental monitoring, maritime operations, agriculture, and commercial enterprises worldwide.
According to MDA Space CEO Mike Greenley, the combination positions the company to offer one of the industry's most comprehensive portfolios of multi-sensor Earth and space observation products while strengthening sovereign space capabilities in both Canada and France.
Expanding Global Reach Across 150 Countries
Founded in 1986 as a subsidiary of France's national space agency, CLS has evolved into one of the world's leading providers of Earth observation analytics and satellite-enabled monitoring services.
Today, the company serves more than 14,000 customers across approximately 150 countries, operates from 40 locations in 19 countries, and employs around 1,200 people. Headquartered in Toulouse, France, CLS has built a strong reputation for delivering data-driven solutions supporting sustainable resource management, environmental monitoring, maritime surveillance, fisheries management, climate resilience, and satellite IoT services.
By integrating CLS into its portfolio, MDA Space significantly expands its international commercial footprint while adding more than 100 direct sales professionals capable of accelerating worldwide adoption of MDA CHORUS™ and other Earth observation solutions.
CLS CEO Stéphanie Limouzin described the transaction as an opportunity to accelerate innovation, expand the global reach of its technologies, and continue delivering mission-driven solutions focused on sustainable management of the planet's resources.
Strengthening Financial Performance Through Recurring Revenue
Beyond its technological benefits, the acquisition is expected to significantly strengthen MDA Space's financial profile.
CLS is projected to generate approximately €286 million (C$465 million) in revenue during 2026, representing an impressive 22% average annual growth rate since 2023. Following completion, MDA Space expects the acquisition to:
Create one of the world's largest integrated geointelligence businesses.
Double the company's recurring revenue stream.
Be accretive to Adjusted EBITDA and Adjusted EPS within the first year.
Increase free cash flow while maintaining healthy profitability.
Expand global commercial operations through an additional international sales network.
The company also expects CLS's EBITDA margins to align with MDA Space's 2026 guidance of 18% to 20%, reinforcing the acquisition's long-term financial attractiveness.
A Strategic Step Toward the Future of Earth Observation
As governments and commercial organizations increasingly rely on AI-powered geospatial intelligence for defense, climate monitoring, infrastructure management, disaster response, and national security, demand for integrated Earth observation services continues to accelerate.
Rather than simply expanding its satellite portfolio, MDA Space is positioning itself higher up the value chain—combining space infrastructure, data acquisition, artificial intelligence, and operational analytics into a single end-to-end offering.
The transaction follows MDA Space's previously announced acquisition of Blue Canyon Technologies, further strengthening its capabilities across spacecraft manufacturing and satellite technologies while expanding its presence in the rapidly growing global space economy.
Subject to employee consultation procedures under French law and regulatory approvals, the CLS acquisition is expected to close by the end of 2026 or in early 2027.
If approved, the transaction will mark one of the most significant geospatial intelligence acquisitions in recent years, reinforcing MDA Space's ambition to become a global leader in next-generation Earth observation and AI-powered geointelligence.
